Terms and Conditions for the Membership Program These terms and conditions (these “Terms”) govern your purchase and use of the Wild Fork Membership (the “Membership Program”) offered by Food Ventures North America Canada, Inc. dba /Wild Fork Canada (“Wild ForkCanada”), its parent, subsidiaries and/or affiliates (collectively with Wild Fork Canada, “we” or “us”). Participation in the Membership Program is subject to these Terms and the Terms of Use and Privacy Policy, which are incorporated herein by reference.
By signing up for or participating in the Membership Program, you are agreeing to these Terms and agreeing to receive marketing emails from us. You may opt out of such emails by using the “Unsubscribe” feature at the bottom of such email or by going to your “My Account” page. Other services or products offered by us, including but limited to, order minimums and taxes are not part of the Membership Program and are subject to change. If you do not agree to these Terms, do not participate in the Membership Program.
The Membership Program is a delivery membership program that allows you to lock in reduced shipping and delivery rates for a specific time period and be charged on an annual basis for these benefits. The Membership Program allows for same day and next day shipping in the GTA or customers can place an order for delivery up to seven (7) days in advance for delivery in the GTA. Anyone living in Canada is eligible to sign up for the Membership Program; however, the only eligible delivery areas for the Membership Program are select postal codes in the GTA. You must provide an eligible delivery postal code when you sign up for the Membership Program.When signing up for the Membership Program, your order for the Membership Program is subject to any minimum order requirements, and you will not be able to complete your check-out for the Membership Program if your cart does not meet such requirements. You are responsible for confirming the Membership Program delivers to your shipping postal code(s) prior to signing up for the program, and such services shall be subject to the termination policy stated herein. If you sign-up for the Membership Program and your postal code is not eligible for delivery or you move to an area not eligible for delivery, please reach out to us by email at care@wildfork.ca, by chat or by phone at 1-888-410-FORK (3675). All refunds will be at our discretion, and we will not be obligated to refund you and shall have no liability to you.
1. HOW MEMBERSHIP SERVICES WORK
You may receive an offer on-site, in-app or by email for specific annual membership in our Membership Program (each, an “Offer”). Each Offer will include important details and terms, such as where and when the Membership Program may be used, the benefit(s) conferred by the Membership Program, the cost of the Membership Program and the membership term (the “Membership Term”). Please refer to your Offer for details before enrolling into the Membership Program. When you sign up for the Membership Program, you agree to have your credit card charged every Billing Cycle on a recurring basis until you cancel your membership. Additionally, you agree to these Terms and any specific terms of the Offer. Offers and the Membership Program benefits are subject to change.
2. PAYMENT; DURATION AND FREQUENCY OF CHARGES; CANCELLATION
When you sign up for the Membership Program, you'll be charged the annual Membership Program rate on your date of purchase, which activates your membership for the Membership Term. Your Membership Term starts on your date of purchase and will end twelve (12) months from such date. UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW, YOUR MEMBERSHIP WILL AUTOMATICALLY TERMINATE AT THE END OF YOUR MEMBERSHIP TERM, and we will have no liability to you upon the termination of your membership. If you wish to continue your membership, it is your responsibility to renew it upon the expiration of your then-current membership.
If your selected payment method is declined, we will prompt you for a new payment method. We are not responsible for any fees charged by your, or the cardholder's, bank including, but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by your, or the cardholder's, bank. (a)Billing
We will charge you a one-time annual membership fee on the first day of your annual membership term. Your membership will automatically terminate twelve (12) months from your annual membership start date, unless you choose to renew your membership. Any unpaid fees under your plan for the applicable membership term will become immediately due and payable.
(b)Canceling Your Membership
To cancel your membership, please call us at 1-888-410-FORK (3675). All cancellations are subject to these Terms.
(i) You may cancel your membership within the first three (3) months of your membership start date. If you cancel your membership within this period, you will receive a pro-rated refund for the unused portion of the annual membership fee, and your membership will terminate immediately.
(ii)You may not cancel your membership on or after the first three (3) months of your membership start date.After such period, the Membership Program is non-cancelable and non-refundable, and we shall have no obligation to refund you.
3. COMBINING PROMOTIONS
Notwithstanding the terms and conditions of other promotions offered by Wild Fork Canada or third parties, Wild Fork Canada, in its sole discretion, may permit the Membership Program to be combined with other promotions.
4. CHANGES TO MEMBERSHIP PROGRAMS
We reserve the right to modify or stop offering membership programs or change membership rates, at any time in its sole discretion. In the event that we increase the membership rate of a membership program, we will provide notice to you of any increase prior to the renewal of your membership, and such changes will be effective upon your next membership renewal. If you do not agree with the price change, you may choose not to renew your membership at the adjusted rate. We may terminate your membership at our discretion without notice. If that happens, we will give you a pro-rated refund based on charges already applied to your current billing period. We will not give any refund for termination related to conduct that we determine, in our sole discretion, violates these Terms, any applicable law, or involves fraud or misuse of theMembership Services.
5. CHANGES TO THESE TERMS
We reserve the right to modify these Terms. If we make material changes to these Terms while you have an active membership, we will notify you either in the membership section of the applicable Wild Fork Canada website, app and/or via email. Revised Terms become effective at the beginning of any renewed membership, and your renewal of your membership constitutes your acceptance of the revised Terms.
6. TRANSFER OF RIGHTS
Our rights and obligations under the Membership Program may be assigned or transferred by us to any other related or unrelated entity at any time, and performance shall be the responsibility of that entity. You may not assign or transfer your membership and any attempt to do so will be void.
7. INTERPRETATION OF THESE TERMS
All interpretations of these Terms will be in our sole discretion and all decisions will be final.
8. DISCLAIMER
The Membership Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons. We are not responsible for any unavailability, interruptions or errors of the Membership Program or its features. We may request information from you to confirm your identity before renewing your membership. We may delay your access to the Membership Program, without liability, until you comply with this information request. The Membership Program and all the information accessible through it are provided for information purposes only on an "AS-IS" and "AS-AVAILABLE" basis. We, our providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Membership Program, the information, materials, content, availability, and products. The Membership Program and these Terms do not modify the contractual relationships among or between the individuals and entities that use our technology to offer goods or services, except as expressly set forth herein. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties or merchantability and fitness for a particular purpose.
